- Holding-Paket: 500 EUR, inklusive laufender Buchhaltung.
Fazit: Wann passt welcher Anbieter?

Resolvio, Fideus or boring: Holding Annual Accounts Compared 2026
Your holding company has hardly booked anything all year, yet the annual accounts are still mandatory and the disclosure deadline is running. Resolvio or Fideus for the holding annual accounts?
boring.tax runs your holding and your operating GmbH in the same account, with its own liable tax advisory firm; the holding costs 500 EUR per year, including ongoing bookkeeping. Resolvio covers only the holding and charges 389 EUR for it. Fideus starts at 600 EUR and bills the holding and the operating GmbH as separate offers.
What are holding annual accounts?
Holding annual accounts are the legally required annual accounts of a GmbH or UG that holds shares in other companies. They consist of a balance sheet, a profit and loss statement and notes to the accounts, and must then be disclosed.
Even a holding with only a few bookings is fully subject to bookkeeping obligations. A GmbH counts as a commercial company, and the exemption in § 241a HGB (German Commercial Code) exists only for sole traders (§ 238 and § 242 HGB, gesetze-im-internet.de, as of 05.11.2026).
Important for disclosure: A holding whose sole purpose is to acquire, manage and dispose of shareholdings, without interfering in the management of its subsidiaries, is not a micro-entity under § 267a para. 3 HGB. It may then not simply file its balance sheet in deposit form, but must publish the balance sheet and notes. Only a holding that does more than hold shares, for example because it provides management services to its subsidiary, may file in deposit form. It is then a micro-entity, provided it stays within the thresholds of § 267a para. 1 HGB. Only in borderline cases (for example mere overlap of managing directors or a purely formal management agreement) is it unclear whether that is enough; you clarify this with your tax advisor.
The deadline for the 2025 financial year ends on 31.12.2026 (§ 325 HGB). After that, the Federal Office of Justice threatens a fine of 2,500 to 25,000 EUR (§ 335 HGB). What happens if you miss the deadline is explained in the guide Missed disclosure: fine for the GmbH.
What does Resolvio offer for a holding’s annual accounts?
Resolvio is tailored to a single case: the purely asset-managing shareholding holding (GmbH or UG, not subject to VAT). According to Resolvio’s pricing page (as of 05.11.2026), the holding annual accounts cost 389 EUR net per holding and year, plus VAT.
Included are annual accounts, corporate income tax and trade tax return, e-balance sheet, disclosure, resolution on adoption of the accounts, and communication with the tax office. According to the website, bookkeeping, shareholdings and balance sheet total are unlimited. You order once per financial year; there is no subscription.
The catch is the deadline: Anyone who orders less than four weeks before the disclosure deadline expires pays the mandatory fast-track fee of 199 EUR on top, so 588 EUR in total. For the 2025 financial year, that would be around early December 2026.
The limits: Stock, ETF and crypto portfolios are excluded, and operating companies are not covered. By its own account, Resolvio is not a tax advisor; the contracting party for the accounts and tax returns is exclusively the partner firm SOLVING TAX in Koblenz. On accounting software, e-invoicing, DATEV export and payroll, Resolvio gives no information on its website.
Difference from boring.tax: Resolvio is cheaper for a single holding. But it covers only the holding, so you have to get your operating GmbH looked after elsewhere. With us, both companies run in the same account and with the same tax advisory firm. You can find the detailed comparison with Resolvio on the comparison page.
What does Fideus offer for a holding’s annual accounts?
Asked whether it is an authorized tax advisory firm, Fideus calls itself a “software company”. According to the website, the engagement and the reserved tax advisory tasks lie with an authorized tax advisory firm, which does the bookkeeping and prepares the accounts on its own responsibility. Two independent firms work via the platform; the legal notice does not name them.
According to Fideus’s pricing page, prices apply per year, net, as a total price for platform and firm (as of 05.11.2026):
- Holding Lite, from 600 EUR: up to 40 transactions, up to 3 shareholdings, balance sheet total up to 150,000 EUR; annual accounts, corporate income tax and trade tax, e-balance sheet, disclosure.
- Holding Pro, from 1,450 EUR: additionally VAT returns (UStVA) and the annual VAT return, relevant for holdings with business activity.
- Operating company, from 2,000 EUR: ongoing bookkeeping, VAT returns, annual accounts and tax returns, up to 1,200 transactions and 1 million EUR revenue.
An offer applies per company; holding and operating GmbH now get separate offers. The term depends on the offer, and there is no automatic renewal. Fideus does not state a deadline surcharge on its pricing page (as of 05.11.2026). Excluded are pure portfolio and real estate GmbHs, stocks/ETFs, crypto, and trading and e-commerce. On e-invoicing and DATEV export, Fideus gives no information on its website.
Difference from boring.tax: Fideus offers the holding from 600 EUR and the operating GmbH from 2,000 EUR as separate offers, which you obtain individually for each company. Platform and firm bill their share themselves, and the price only appears in the offer. With us, prices are public and visible via the price calculator, and both companies run in one account. More in the detailed comparison with Fideus.
How boring.tax supports you: the holding package
The holding package costs 500 EUR per year (net, as of 25.09.2026) for one shareholding and 100 EUR per year for each additional shareholding, billed annually. Included are ongoing bookkeeping, annual accounts, corporate income tax and trade tax returns, e-balance sheet and publication. The boring.tax Steuerberatungsgesellschaft mbH handles the reserved tax advisory tasks (in individual cases a partner firm), with 4 million EUR of liability insurance coverage. Nothing goes to the tax office without your approval, and the data is stored in Germany.
The package applies to holdings that meet these conditions:
- No operating business of its own.
- Balance sheet total of at most 500,000 EUR.
- Fixed assets consist only of direct shareholdings in corporations.
- Current assets consist only of receivables and liquid funds.
- At most 50 bookings per year.
- No partnership interests such as atypical silent partnerships.
If a condition does not fit, you get an individual offer. This also applies to urgently overdue annual accounts. The holding page shows the process.
The real difference from the other two: Your operating GmbH books one of three tiers in the same account. “Without firm” (software + AI agent) costs from 60 EUR per month, without tax advice and without annual accounts. “With boring bookkeepers” starts at 100 EUR per month. The full package “With firm + tax advisor” begins at 335 EUR per month (up to 100,000 EUR revenue). You can find the prices on the pricing page.
To be honest: boring.tax is a young company (over 330 paying companies, as of August 2026), and annual accounts directly in the platform are announced but not yet live. The tax advisory team prepares the accounts.
How do the three providers compare line by line?
All prices net. Details on Resolvio and Fideus according to their websites, as of 05.11.2026; prices of the third provider as of 25.09.2026.
| Resolvio | Fideus | boring.tax | |
|---|---|---|---|
| Holding and operating GmbH in one account | No, holding only | No, separate offers per company | Yes |
| Holding price (one shareholding) | 389 EUR per year plus VAT | from 600 EUR per year (Lite) | 500 EUR per year |
| Deadline surcharge | 199 EUR fast-track if ordered less than 4 weeks before the deadline | Fideus does not state one on its website | none stated; overdue accounts quoted individually |
| Multiple shareholdings | unlimited | Lite up to 3 | plus 100 EUR per additional shareholding |
| Ongoing bookkeeping | unlimited, included according to website | Lite up to 40 transactions | included, up to 50 bookings per year |
| Tax returns | Corporate income tax/trade tax, e-balance sheet | Corporate income tax/trade tax, e-balance sheet; VAT only from Pro | Corporate income tax/trade tax, e-balance sheet |
| Holding subject to VAT | not possible | from Pro | per holding conditions only without operating business |
| Disclosure | included | included | publication included |
| Who advises and is liable | Partner firm SOLVING TAX; Resolvio itself not a tax advisor | authorized tax advisory firm; Fideus itself a software company | boring.tax Steuerberatungsgesellschaft mbH, 4 million EUR liability coverage |
| Operating GmbH | not offered | from 2,000 EUR per year, separate offer | three tiers from 60 EUR per month, same access |
| Not possible | Portfolios, crypto, holdings subject to VAT | Portfolio/real estate GmbH, crypto, trading | Holdings with operating business or over 50 bookings (then an offer) |
Example: A holding with one shareholding and an operating GmbH with up to 100,000 EUR revenue in the full package “With firm + tax advisor” cost together 500 EUR + (335 EUR x 12 months) = 4,520 EUR per year net, both in the same account. At Fideus, the two offers start at 2,600 EUR per year on paper (600 + 2,000 EUR). Scope of services and transaction limits differ, so compare the offers line by line. What annual accounts cost overall at fixed-price providers is shown in the guide GmbH annual accounts: costs 2026 and fixed-price providers.
Which provider is cheapest for a holding with few bookings?
With a single shareholding, Resolvio is cheapest at 389 EUR, as long as you order in time. If you order less than four weeks before the deadline, it is 588 EUR, which is more than the holding package.
Example: Your holding holds one shareholding, has 30 bookings per year and a balance sheet total of 120,000 EUR.
- Resolvio: 389 EUR, 588 EUR if ordered late.
- Fideus Lite: from 600 EUR (balance sheet total up to 150,000 EUR, fits).
- Holding package: 500 EUR, including ongoing bookkeeping.
With three shareholdings, Resolvio costs 389 EUR, Fideus Lite from 600 EUR and the holding package 700 EUR (500 + 2 x 100). Resolvio therefore remains cheapest, as long as you order in time. On top come official fees of the company register: for a pure shareholding holding, 25 EUR for filing plus 3 EUR annual fee (JVKostG, as of 05.11.2026). You clarify whether they are included in the provider’s price before ordering.
Which 5 criteria decide the choice of provider?
- Does your holding fall under the exclusions? Portfolios, crypto, VAT liability and more than 50 bookings decide which provider is even an option.
- How many shareholdings and bookings do you have? Resolvio has no limits, Fideus Lite caps at 3 shareholdings and 40 transactions, and the holding package at 50 bookings.
- How close is the deadline? Resolvio’s fast-track surcharge makes late orders more expensive.
- Who advises and is liable? Ask about the firm behind the offer and its liability coverage.
- What about the operating GmbH? One provider for both saves interfaces.
boring.tax meets point 4 with its own tax advisory firm and point 5 with one account for both companies. On point 2, the limit of 50 bookings is tighter than at Resolvio. On point 1: If something falls outside the grid, you get an individual offer instead of a rejection.
Conclusion: When does which provider fit?
- Resolvio fits if you have a pure shareholding holding without VAT liability, order early and only need the accounts. It is the cheapest solution.
- Fideus fits if your holding is subject to VAT (Pro) or you want holding and operating company handled through separate offers at one platform.
- boring.tax fits if holding (without operating business) and operating GmbH should run in one account, with fixed public prices and its own tax advisory firm. Even if the annual accounts are overdue, a conversation is worthwhile.
The question of traditional firm or digital solution is answered by the guide Traditional tax advisor or digital firm for the GmbH?.
FAQ
Resolvio or Fideus: which provider is better for a holding’s annual accounts? For a pure shareholding holding, Resolvio is cheaper at 389 EUR net if you order in time. Fideus is worthwhile if you need VAT returns (Holding Pro from 1,450 EUR per year, Lite from 600 EUR does not include them) or want to run holding and operating GmbH through the same platform.
Resolvio reviews: what do annual accounts for a UG cost? For a purely asset-managing holding UG, Resolvio states 389 EUR net plus VAT, 588 EUR if ordered late. For operating UGs, the website does not offer the holding annual accounts. We deliberately do not state rating scores here.
What is an alternative to Resolvio for a holding and operating GmbH? boring.tax looks after the holding for 500 EUR per year and the operating GmbH in the same account, from 60 EUR per month in the software tier. Fideus also offers both, with separate offers.
What is an alternative to Fideus for a GmbH’s annual accounts? For a pure shareholding holding without VAT liability, take Resolvio (389 EUR). For holding and operating GmbH in one account, take boring.tax: The holding costs 500 EUR per year, and the full package “With firm + tax advisor” for the operating GmbH begins at 335 EUR per month (up to 100,000 EUR revenue). The price calculator shows you your fixed price.
Who prepares my holding’s annual accounts quickly if they are overdue? Order as early as possible: Resolvio charges a 199 EUR surcharge for late orders, and the holding package gives an individual offer after a conversation for urgently overdue accounts. The disclosure deadline for 2025 ends on 31.12.2026, after which fines of 2,500 to 25,000 EUR threaten.
Can my holding use the relief for micro-entities? A pure shareholding holding cannot. Under § 267a para. 3 HGB, it is not a micro-entity regardless of its size and must publish the balance sheet and notes rather than file them in deposit form. If the holding also provides management services to its subsidiaries, § 267a para. 3 no. 3 HGB does not apply by its wording, and it may file in deposit form, provided it stays within the micro thresholds.
Do I even need annual accounts for a holding with few bookings? Yes, every GmbH and UG is subject to bookkeeping and accounts obligations, even without operating business. The exemption in § 241a HGB applies only to sole traders.
Ready to try it out?
If your holding fits the conditions, the holding package costs 500 EUR per year. You run the operating GmbH in the same account. You can test for 14 days free of charge, with no credit card and no sales call.
